1. Acceptance of Terms
By accessing or engaging the bookkeeping services provided by Salgado's Bookkeeping ("we," "us," or "our"), you ("you," "the client," or "the user") agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not engage our services or use this website.
These Terms apply to all visitors, clients, and prospective clients of Salgado's Bookkeeping, a bookkeeping practice based in Missouri serving clients remotely.
2. Description of Services
Salgado's Bookkeeping provides remote bookkeeping and financial recordkeeping support services, including but not limited to: financial recordkeeping, QuickBooks Online setup and support, transaction categorization and reconciliation, accounts receivable and accounts payable support, financial reporting, catch-up and cleanup bookkeeping, ongoing monthly bookkeeping, and customized bookkeeping solutions.
We are not a Certified Public Accounting (CPA) firm and do not provide audited financial statements, tax preparation, or formal tax advice. Any tax-related figures or summaries we prepare are provided for your convenience and must be reviewed and approved by a licensed tax professional before filing.
3. Engagement & Scope of Work
Each engagement begins with a written or electronic agreement that defines the specific scope of work, deliverables, schedule, and fees. These Terms supplement — and are incorporated into — that engagement agreement. Where the two conflict, the specific engagement agreement controls.
Any work outside the agreed scope will be quoted and billed separately and requires your written or email approval before we begin.
4. Client Responsibilities
To allow us to perform services accurately and on schedule, you agree to:
- Provide complete, accurate, and timely financial records, statements, and documentation.
- Grant timely, secure access to accounting software, bank feeds, and related systems.
- Respond to reasonable requests for clarification or missing information promptly.
- Notify us in advance of any material change in your business structure or operations.
- Review and approve reconciliations, reports, and deliverables in a timely manner.
We rely on the accuracy of the information you provide. We are not responsible for errors, omissions, or delays caused by incomplete, inaccurate, or late information supplied by you or third parties.
5. Fees, Billing & Payment
Fees are described in your engagement agreement. Monthly retainer engagements are billed in advance; project-based work is billed per the milestones defined in the agreement. Unless otherwise stated, invoices are due within fifteen (15) days of the invoice date.
Overdue invoices may accrue a late fee of 1.5% per month (or the maximum permitted by law). We may pause or suspend services on accounts more than thirty (30) days past due until the balance is brought current.
6. Confidentiality
We respect the confidentiality of your financial information. We will not disclose your information to third parties except as required by law, as necessary to perform the agreed services, or with your written consent. The handling of personal data is described in detail in our Privacy Policy.
7. Intellectual Property
All content on this website — including text, graphics, logos, and design — is the property of Salgado's Bookkeeping and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this website without our prior written consent.
Reports, templates, and deliverables prepared specifically for you remain your property once paid in full, except for any underlying tools, templates, or methodologies we developed independently, which remain our property.
8. Limitation of Liability
To the fullest extent permitted by law, Salgado's Bookkeeping and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to the services provided.
Our total aggregate liability for any claim arising from these Terms or the services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim during the three (3) months preceding the claim.
9. Termination
Either party may terminate an engagement with thirty (30) days' written notice. Upon termination, you are responsible for all fees accrued through the termination date, and we will deliver any work in progress and return or make available your records as described in the engagement agreement.
We reserve the right to refuse or terminate services immediately if you engage in fraudulent, illegal, or abusive conduct, or fail to pay amounts due.
10. Communications & SMS Consent
By providing your phone number to Salgado's Bookkeeping, you consent to receive service-related text messages (SMS) at that number, including appointment reminders, scheduling confirmations, and similar notifications. Message frequency varies. Standard message and data rates from your carrier may apply.
You may opt out of SMS communications at any time by replying "STOP" to any message.
We will never send marketing or promotional text messages without your express prior opt-in consent. For details on how we collect, use, and protect your personal information, including phone numbers, see our Privacy Policy.
11. Governing Law & Disputes
These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law principles. Any dispute arising from these Terms or our services shall be resolved in the state or federal courts located in Missouri, and you consent to the exclusive jurisdiction of those courts.
12. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will take effect thirty (30) days after posting. Your continued use of our services or website after that period constitutes acceptance of the updated Terms.
